  • Strategy consultation and recommendations

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your business
  • Grant necessary access to advertising accounts
  • Respond to requests for approvals and information in a timely manner
  • Comply with advertising platform policies (Google, Meta, TikTok, etc.)
  • Pay all fees as agreed in your service agreement
  • Ensure your products/services comply with applicable laws

4. Account Access and Ownership

  • Your Accounts: You maintain full ownership of your advertising accounts (Google Ads, Meta Business, etc.). We will never claim ownership of your accounts or data.
  • Access Permissions: You grant us access to manage campaigns on your behalf. You may revoke access at any time.
  • Account Security: You are responsible for maintaining the security of your account credentials.

5. Fees and Payment

  • Service Fees: Fees are as specified in your service agreement
  • Ad Spend: Advertising spend paid to platforms (Google, Meta, etc.) is separate from our service fees and paid directly to those platforms
  • Payment Terms: Monthly fees are due at the beginning of each billing period
  • Late Payment: Late payments may result in service suspension

6. Cancellation and Termination

  • By You: You may cancel services with 30 days written notice
  • By Us: We may terminate services if you breach these Terms or fail to pay fees
  • Effect of Termination: Upon termination, we will provide transition support and ensure you retain access to your advertising accounts and data

7. Performance and Results

  • No Guarantees: While we strive to deliver strong results, we cannot guarantee specific outcomes. Advertising performance depends on many factors including market conditions, competition, and budget.
  • Projections: Any projections or forecasts provided are estimates based on available data and should not be considered guarantees.

8. Intellectual Property

  • Our Materials: Our methodologies, strategies, reports, and proprietary tools remain our intellectual property
  • Your Content: You retain ownership of your brand assets, creative materials, and business data
  • License: You grant us a license to use your brand assets and content solely to provide our services

9. Confidentiality

We will keep your business information confidential and will not disclose it to third parties except:

  • As necessary to provide our services
  • With your consent
  • As required by law

10. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to fees paid in the 3 months preceding any claim
  • We are not responsible for actions taken by advertising platforms or their policy changes

11. Indemnification

You agree to indemnify AI AD Pilot against claims arising from:

  • Your breach of these Terms
  • Your violation of advertising platform policies
  • Your products, services, or business practices
  • Content you provide for advertising

12. Advertising Platform Compliance

  • Platform Policies: We manage campaigns in compliance with platform policies, but final compliance responsibility rests with you as the account owner
  • Policy Changes: Platforms may change policies at any time. We will adapt strategies accordingly but cannot control platform decisions
  • Account Suspensions: If your account is suspended by a platform, we will assist with appeals but cannot guarantee reinstatement

13. Dispute Resolution

  • Informal Resolution: We will first attempt to resolve any disputes informally
  • Governing Law: These Terms are governed by the laws of England and Wales
  • Jurisdiction: Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or website notice. Continued use of our services after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

16. Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and AI AD Pilot.
